Abstract

The collapse of Wirecard, once a leading fintech company, exposed significant weaknesses in corporate governance, particularly concerning internal controls and whistleblower mechanisms. This study examines the critical role these systems play in preventing and detecting financial fraud within corporations. Through an in-depth analysis of the Wirecard scandal, the research highlights how deficiencies in oversight, inadequate risk management, and ineffective whistleblower protections contributed to one of the largest financial frauds in recent history. The paper explores the structural and procedural lapses that allowed fraudulent activities to go undetected for years and the subsequent impact on investors, regulators, and the broader financial ecosystem. Furthermore, it assesses reforms and regulatory responses introduced post-scandal, emphasizing the need for robust internal controls and empowered whistleblower frameworks to foster transparency and accountability. By unpacking the Wirecard debacle, this study underscores lessons vital for corporations and policymakers to strengthen governance practices, mitigate risks, and restore stakeholder trust. The findings suggest that enhancing whistleblower protections and implementing comprehensive internal control systems are essential to early fraud detection and prevention, thus safeguarding corporate integrity and financial stability in an increasingly complex business environment.
